1. The parties
These Terms form an agreement between you and imHER Innovative Solutions ("we", "us"), the provider of CLOCK HER™ (the "Service").
2. Acceptance
By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
3. The Service
CLOCK HER™ is an AI-assisted audience identity and messaging engine. Outputs are generated by AI models and may contain inaccuracies; you are responsible for reviewing and validating outputs before use.
4. Acceptable use
You must not:
- Use the Service unlawfully or to commit fraud, send spam, or infringe intellectual-property or privacy rights.
- Generate illegal content, deepfakes of real people, hate speech, harassment, malware, or content that sexualises minors.
- Attempt to jailbreak, reverse-engineer, scrape, probe, or interfere with the security of the Service.
- Resell, redistribute, or sublicense the Service.
You are responsible for your prompts, the use of any outputs, verifying their accuracy, and ensuring you have the rights to any content you input. We may moderate, filter, restrict, or remove content and suspend accounts that violate this section.
5. Accounts
You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account.
6. Credits, payments and Merchant of Record
Paid features are unlocked via credit packs. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer-service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Purchased credits are added on top of your current balance. Refunds or chargebacks revoke the corresponding credits.
7. Intellectual property
We retain all rights in the Service, our software, branding, and documentation. Subject to these Terms you receive a limited, non-exclusive, non-transferable right to use the Service. You retain rights to content you submit; you grant us a limited licence to host and process that content solely to provide the Service. Rights-holders may submit takedown requests through the contact channel below; repeated infringers may have their accounts terminated.
8. No professional advice
Outputs are for general informational purposes only and are not legal, financial, medical, or other professional advice.
9. Service availability and warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation.
10. Liability
To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law.
11. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated/serious policy violations. You may stop using the Service at any time.
12. Changes
We may update these Terms; continued use after changes constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the jurisdiction where imHER Innovative Solutions is established.
